Vendor Onboarding Agreement

This Vendor Onboarding Agreement sets out the terms under which vendors join and sell on the Palembi platform. By registering as a vendor, submitting onboarding information, or accepting these terms online, you agree to this agreement.

1. About Palembi

Palembi is a digital marketplace that enables customers to discover, purchase, and book products and services from independent vendors. Palembi acts as a platform provider and marketplace facilitator. Unless otherwise stated, Palembi is not the legal seller of vendor goods or services.

2. Eligibility to Join

To register as a vendor, you must:

  • Be at least 18 years old
  • Provide accurate personal or business information
  • Submit any requested identity, business, or banking documents
  • Have the legal right to sell the products or services you list

3. Verification and Approval

All vendors are subject to onboarding and verification checks before going live on the platform. Palembi reserves the right to:

  • Approve or reject vendor applications
  • Request further documents or clarifications
  • Suspend onboarding where concerns arise

4. Vendor Responsibilities

As a vendor, you agree to:

  • Provide accurate listing information and pricing
  • Keep your profile and contact details up to date
  • Ensure goods and services meet applicable quality and safety standards
  • Fulfil orders and bookings professionally and on time
  • Package goods appropriately for delivery
  • Respond promptly to customer or support enquiries
  • Comply with all applicable UK laws and regulations

5. Fees and Charges

Palembi may charge vendors:

  • A transaction commission
  • Subscription or premium plan fees
  • Advertising or promotional fees
  • Other agreed platform charges

Applicable fees will be communicated through the vendor dashboard, onboarding process, or separate commercial terms.

6. Payments and Payouts

Customer payments are processed through the platform. Vendor payouts will be made to the registered bank account after deducting applicable fees, refunds, chargebacks, or other authorised adjustments. Payout timing may vary according to the vendor plan or internal payment schedule.

7. Listings and Content

You retain ownership of your product images, descriptions, branding, and other content you upload. However, by listing on Palembi, you grant Palembi a non-exclusive licence to use, display, reproduce, and promote that content for platform operations, marketing, and promotional purposes.

  • You must not upload false, misleading, unlawful, or infringing content.

8. Returns, Complaints, and Disputes

Vendors are expected to cooperate in resolving complaints, disputes, refunds, and returns in line with UK consumer law and Palembi's platform policies. Palembi may intervene in disputes and may request evidence from the vendor before a decision is made.

9. Customer Data

Vendors must handle customer data responsibly and in accordance with UK GDPR. Customer information may only be used for order fulfilment, service delivery, and permitted operational purposes.

  • Customer data must not be used for unauthorised marketing or shared unlawfully.

10. Suspension or Termination

Palembi may suspend, restrict, or terminate vendor access where there is:

  • Breach of this agreement
  • Fraudulent, unsafe, or misleading activity
  • Repeated customer complaints
  • Failure to meet platform standards
  • Legal or compliance concerns

11. Liability

Vendors remain responsible for:

  • The quality, legality, and safety of their goods or services
  • Customer claims arising from vendor products or conduct
  • Compliance with applicable laws, taxes, and business obligations

12. Changes to This Agreement

Palembi may update this agreement from time to time. Continued use of the platform after updates take effect means you accept the revised terms.

13. Governing Law

This agreement is governed by the laws of England and Wales.

15. Acceptance

Vendor agrees by electronically signing or clicking Accept during onboarding. Both individual and corporate vendors are bound by these terms upon registration.
